Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule, subject to satisfactory completion and acceptance of each milestone by the Buyer's project manager:

Payments shall be made via bank transfer to the account of the Industrial Engineer as registered with the Ordre des Ingénieurs du Congo. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, including the Congolese Code of Obligations and the regulations of the Ordre des Ingénieurs du Congo applicable to the practice of industrial engineering in DR Congo Kinshasa.
Professional Standards: The Industrial Engineer shall perform all services in a professional and workmanlike manner, in full compliance with the ethical code of the Ordre des Ingénieurs du Congo and all applicable safety regulations enforced by the Ministry of Industry of the DR Congo.
Intellectual Property: All reports, process diagrams, KPI models, and improvement roadmaps produced under this Purchase Order shall become the exclusive property of Société Industrielle du Congo upon full payment. The Industrial Engineer shall not replicate or disclose proprietary process data to third parties without written consent.
Confidentiality: The Industrial Engineer agrees to maintain strict confidentiality regarding all operational data, production volumes, and financial information of the Buyer encountered during the engagement in DR Congo Kinshasa. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Insurance and Liability: The Industrial Engineer shall maintain professional liability insurance with a minimum coverage of 50,000,000 CDF throughout the duration of the engagement. The Buyer shall not be held liable for any personal injury or property damage sustained by the Industrial Engineer while on the Buyer's premises in DR Congo Kinshasa, except in cases of gross negligence by the Buyer.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily completed up to the date of termination. The Industrial Engineer shall deliver all work-in-progress documentation within seven (7) days of the termination notice.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court of Kinshasa, DR Congo, or to arbitration under the rules of the Centre d'Arbitrage de Kinshasa.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, government sanctions, or epidemics affecting operations in DR Congo Kinshasa.
Validity: This Purchase Order is valid for a period of one hundred and seventy (170) calendar days from the date of issue, unless extended in writing by both parties.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of an Industrial Engineer in DR Congo Kinshasa. This document constitutes a binding procurement instrument between the Buyer and the Seller.
