5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Industrial Engineer services as described herein. All work shall be performed in compliance with the Ethiopian Labour Proclamation (No. 1156/2019) and applicable regulations of the Ethiopia Addis Ababa City Administration.
5.2 The Industrial Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Industrial Engineering or a related discipline from an accredited Ethiopian or internationally recognized university, with a minimum of eight (8) years of relevant professional experience in manufacturing or process industries within Ethiopia Addis Ababa or comparable industrial environments.
5.3 Payment shall be made in three (3) installments: 40% upon commencement of services, 40% upon completion of the mid-project deliverables, and 20% upon final acceptance of the strategic report. All payments shall be processed in Ethiopian Birr (ETB) via bank transfer to the account designated by the Seller.
5.4 The Industrial Engineer shall submit weekly progress reports to the Buyer's Project Management Office located in Ethiopia Addis Ababa. Failure to submit reports for two consecutive weeks shall constitute a material breach of this Purchase Order.
5.5 The Seller warrants that the Industrial Engineer assigned to this Purchase Order shall not be simultaneously engaged in competing projects within the Ethiopia Addis Ababa industrial corridor without prior written consent from the Buyer.
5.6 All intellectual property, process documentation, and strategic plans developed under this Purchase Order shall remain the exclusive property of the Buyer. The Industrial Engineer and the Seller shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work in Ethiopia Addis Ababa.
5.7 Disputes arising from this Purchase Order shall be resolved through mediation in Ethiopia Addis Ababa in accordance with the Ethiopian Civil Code. If mediation fails, the matter shall be submitted to the competent commercial court in Addis Ababa.
