This Purchase Order is issued to formally engage the services of a qualified Industrial Engineer to be deployed at our primary manufacturing facility located in France Lyon. The Industrial Engineer shall be responsible for conducting comprehensive process optimization analyses, implementing lean manufacturing methodologies, performing time-and-motion studies, and developing continuous improvement frameworks across all production lines at the France Lyon site. The engagement is structured to ensure that the Industrial Engineer operates in full compliance with French labor regulations (Code du Travail) and the specific operational standards maintained by Rhône-Alpes Industrial Solutions S.A.S.

- 5.1 – This Purchase Order constitutes a binding agreement between Rhône-Alpes Industrial Solutions S.A.S. and Lyonnaise Engineering Consultants SARL upon countersignature by both parties. All terms herein shall be governed by the laws of the French Republic, with jurisdiction vested in the Tribunal de Commerce de France Lyon.
- 5.2 – The Industrial Engineer or team of Industrial Engineers assigned under this Purchase Order shall report directly to the Plant Manager at the France Lyon facility and shall adhere to all site safety protocols, confidentiality agreements, and operational procedures in effect at the time of engagement.
- 5.3 – Payment terms: Net 45 days from the date of invoice receipt. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- 5.4 – The Industrial Engineer shall maintain full professional indemnity insurance and comply with all applicable French data protection regulations (RGPD / GDPR) when handling operational data from the France Lyon plant.
- 5.5 – Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Industrial Engineer shall deliver all work-in-progress documentation, simulation models, and process improvement reports to the buyer within 15 business days.
- 5.6 – All deliverables, including process maps, value stream analyses, and optimization recommendations produced by the Industrial Engineer at the France Lyon site, shall become the exclusive intellectual property of Rhône-Alpes Industrial Solutions S.A.S. upon full payment.
- 5.7 – The supplier warrants that the Industrial Engineer assigned shall hold a minimum of a Master's degree in Industrial Engineering (Diplôme d'Ingénieur) from a recognized French or European institution, with a minimum of five (5) years of relevant experience in discrete manufacturing environments.
- 5.8 – Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting the France Lyon metropolitan area, shall suspend obligations under this Purchase Order without penalty to either party.
By signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Industrial Engineer services at the France Lyon facility. This document is executed in two (2) original copies, one for each party.
