This Purchase Order is issued by Meridian Industrial Solutions GmbH (hereinafter referred to as the "Buyer") to Apex Engineering & Consulting AG (hereinafter referred to as the "Supplier") for the provision of a qualified Industrial Engineer to be deployed at the Buyer's manufacturing and logistics facility located in Germany Frankfurt, specifically at the Frankfurt am Main production campus on the Main River industrial zone.

The Industrial Engineer shall be responsible for the following scope of work throughout the contract period:

• Conducting comprehensive process optimization audits across all production lines at the Germany Frankfurt facility, with a focus on reducing cycle times by a minimum of 12 percent.
• Designing and implementing lean manufacturing methodologies, including value stream mapping, 5S workplace organization, and kaizen event facilitation for all departments.
• Developing and maintaining the facility's capacity planning models, workforce scheduling algorithms, and throughput forecasting systems.
• Overseeing the integration of new automated assembly equipment scheduled for installation in Q3 2025, ensuring seamless workflow transitions.
• Preparing monthly performance reports, bottleneck analyses, and continuous improvement recommendations for the Plant Director and senior management team.
• Coordinating with the quality assurance division to reduce defect rates and implement statistical process control (SPC) protocols.
• Providing technical training and mentorship to junior engineers and production supervisors at the Germany Frankfurt site.

Payment Terms: Net 30 days from invoice date. Invoices shall be submitted on the last working day of each calendar month. Payment shall be made via SEPA bank transfer to the Supplier's designated account. Late payments shall incur interest at the statutory rate under German commercial law (Handelsgesetzbuch § 353).

• Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
• Confidentiality: The Industrial Engineer assigned under this Purchase Order shall sign a non-disclosure agreement (NDA) prior to commencing work at the Germany Frankfurt facility. All proprietary processes, trade secrets, and operational data shall remain the exclusive property of the Buyer.
• Compliance: The Supplier warrants that the Industrial Engineer holds a recognized degree in Industrial Engineering (or equivalent) from an accredited German or EU institution and possesses a minimum of eight (8) years of relevant experience in manufacturing and logistics environments.
• Working Hours & Location: The Industrial Engineer shall report to the Buyer's premises in Germany Frankfurt on a standard Monday-to-Friday schedule (08:00–17:00 CET), with occasional overtime as mutually agreed upon and compensated per German labor regulations (Arbeitszeitgesetz).
• Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, termination may be effected immediately upon written notice.
• Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout the contract term in Germany.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting the Germany Frankfurt region.
