2. Scope of Purchase OrderThis Purchase Order is issued by Munich Industrial Solutions GmbH to formally request and authorize the engagement of a qualified Industrial Engineer to provide specialized process optimization, production line analysis, and operational efficiency consulting services. The services described herein are to be performed exclusively at the buyer's manufacturing facility located in Germany Munich, specifically at the plant premises on Brienner Straße 112, 80333 Munich, Germany. The Industrial Engineer shall be responsible for conducting a comprehensive review of the existing production workflows, identifying bottlenecks, and delivering actionable recommendations to improve throughput by a minimum of 15 percent over a twelve-month implementation period.

4.1 This Purchase Order constitutes a binding agreement between Munich Industrial Solutions GmbH and Apex Engineering Consultants Ltd. upon written acceptance by both parties. All services shall be rendered in accordance with the specifications outlined in this document and any mutually agreed-upon amendments.
4.2 The Industrial Engineer assigned to this engagement must hold a minimum of a Master's degree in Industrial Engineering or a closely related discipline, possess at least eight (8) years of professional experience in manufacturing process optimization, and be fluent in both German and English to facilitate effective communication with all stakeholders at the Germany Munich facility.
4.3 Payment terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly for services rendered. A 20 percent advance payment is due upon signing of this Purchase Order. The remaining balance shall be paid in equal monthly installments over the twelve-month implementation period.
4.4 The Industrial Engineer shall comply with all applicable German labor laws, data protection regulations (GDPR), and site safety protocols at the Germany Munich manufacturing plant. The supplier is responsible for providing all necessary personal protective equipment (PPE) and professional liability insurance.
4.5 All intellectual property, process data, and proprietary information generated or accessed during the course of this engagement shall remain the exclusive property of Munich Industrial Solutions GmbH. The Industrial Engineer and the supplier are bound by a strict non-disclosure agreement (NDA) for a period of five (5) years following project completion.
4.6 In the event of non-performance or failure to meet the agreed-upon KPI targets, the buyer reserves the right to withhold payment for the affected period and to terminate this Purchase Order with thirty (30) days written notice.
4.7 Governing law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be resolved by the competent courts in Munich, Germany.
