1. This Purchase Order is governed by the laws of the Republic of Ghana and shall be interpreted in accordance with the Ghanaian Commercial Code and applicable procurement regulations issued by the Public Procurement Authority of Ghana.
2. The Industrial Engineer and all supporting personnel shall comply with all health, safety, and environmental regulations as stipulated by the Ghana Environmental Protection Agency (EPA) and the Ministry of Employment and Labour Relations.
3. All deliverables, reports, and intellectual property generated under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Industrial Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Ghana Accra.
4. Payment shall be made in monthly installments via bank transfer to the Supplier's designated account at a licensed commercial bank in Ghana Accra, within thirty (30) calendar days of receipt of a valid tax invoice and satisfactory progress report.
5. The Supplier warrants that the Industrial Engineer assigned to this Purchase Order shall maintain valid professional indemnity insurance with a minimum coverage of GHS 2,000,000 throughout the duration of the engagement.
6. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 1968 (Act 30) of Ghana, as amended.
7. The Supplier shall submit a weekly progress report to the Buyer's Project Management Office in Ghana Accra every Friday by 17:00 hours. Failure to submit reports for two consecutive weeks shall constitute a material breach of this Purchase Order.
8. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
9. All communications regarding this Purchase Order shall be directed to the Buyer's Procurement Department at the address stated above in Ghana Accra.
10. The Industrial Engineer shall be subject to the Buyer's site safety induction and must wear appropriate personal protective equipment (PPE) at all times while on the manufacturing floor.

The Industrial Engineer team shall commence on-site work at the Buyer's facility no later than 1 July 2025. The full engagement period under this Purchase Order shall span six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement.
