1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India, with jurisdiction vested in the courts of India Bangalore, Karnataka.
2. The Industrial Engineer engaged under this Purchase Order shall report directly to the Plant Head at the TechNova facility in India Bangalore and shall adhere to all site safety protocols, confidentiality agreements, and operational guidelines in effect at the time of engagement.
3. The Industrial Engineer must hold a minimum of a Bachelor's degree in Industrial Engineering or a related discipline from a recognized Indian university, with a minimum of five (5) years of post-qualification experience in manufacturing or process industries.
4. Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by Apex Engineering Consultants LLP. All payments shall be processed via NEFT/RTGS to the bank account specified in this Purchase Order.
5. The Industrial Engineer shall submit monthly progress reports detailing completed tasks, key performance indicators, and recommendations for process improvement at the India Bangalore facility.
6. Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Industrial Engineer shall hand over all work-in-progress documentation, data sets, and proprietary process models to TechNova Manufacturing Solutions Pvt. Ltd.
7. All intellectual property, process designs, layout plans, and optimization models developed by the Industrial Engineer during the tenure of this Purchase Order at the India Bangalore site shall be the exclusive property of TechNova Manufacturing Solutions Pvt. Ltd.
8. The supplier shall ensure that the Industrial Engineer is fully insured under applicable Indian labor and professional liability statutes. Any claims arising from the Industrial Engineer's negligence shall be the sole responsibility of Apex Engineering Consultants LLP.
9. This Purchase Order is valid for a period of one hundred and eighty (180) days from the date of issue. Failure to accept this Purchase Order within the stipulated period shall render it null and void.
10. All disputes arising out of or in connection with this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996.
