- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Industrial Engineer upon countersignature by both parties. All services shall be rendered exclusively at the buyer's premises in India New Delhi unless otherwise agreed in writing.
- The Industrial Engineer shall comply with all applicable Indian labor laws, safety regulations, and the provisions of the Factories Act, 1948, while performing duties at the India New Delhi facility. The buyer shall provide all necessary access, documentation, and personnel cooperation.
- Payment shall be made in three equal installments: 30% upon acceptance of this Purchase Order, 40% upon submission of the interim audit report, and 30% upon final delivery of the comprehensive report and completion of all training sessions. All payments shall be processed via bank transfer to the account specified by the Industrial Engineer.
- The Industrial Engineer warrants that all recommendations, analyses, and deliverables shall be original, free from intellectual property infringement, and prepared in accordance with the standards of the Institution of Engineers, India (IEI) and the American Society of Industrial and Systems Engineers (ASISE).
- Confidentiality: The Industrial Engineer shall treat all proprietary data, trade secrets, and operational information of the buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India, and the proceedings shall be conducted in English.
- This Purchase Order is governed by the laws of India. The jurisdiction of the courts in India New Delhi shall be exclusively applicable for any legal proceedings not resolved through arbitration.
- The Industrial Engineer shall carry professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the duration of the engagement in India New Delhi.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, and the Industrial Engineer shall deliver all work-in-progress materials.
- All invoices raised by the Industrial Engineer must reference this Purchase Order number (PO/IND/2025/04782) and include a valid GST invoice as per the Goods and Services Tax Act, 2017, applicable in India New Delhi.
