Payment for this Purchase Order shall be made in accordance with the following schedule: (a) a non-refundable deposit of thirty percent (30%) of the total Purchase Order value, amounting to USD 13,194.00, due within five (5) business days of the signed acknowledgment of this Purchase Order; (b) a progress payment of forty percent (40%), amounting to USD 17,592.00, due upon completion of the on-site Industrial Engineer engagement in Iran Tehran and submission of the interim process mapping report; and (c) a final payment of thirty percent (30%), amounting to USD 13,194.00, due within ten (10) business days of acceptance of the final deliverable report. All payments shall be made via irrevocable letter of credit issued through a bank operating in Iran Tehran, in accordance with applicable international trade regulations.
The Industrial Engineer shall commence on-site work at the buyer's facility in Iran Tehran no later than 1 August 2025. The full engagement, including all deliverables, shall be completed by 30 August 2025. Any delay attributable to the buyer's failure to provide necessary access, documentation, or personnel cooperation shall extend the timeline proportionally, and this Purchase Order shall remain valid under the revised schedule as mutually agreed in writing.
(a) This Purchase Order is governed by the commercial laws of the Islamic Republic of Iran and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG). (b) The Industrial Engineer engaged under this Purchase Order shall comply with all local labor regulations, safety protocols, and site-specific rules in force in Iran Tehran. (c) All intellectual property, reports, and documentation produced as a result of this engagement shall become the sole property of the buyer upon full payment. (d) The supplier warrants that the Industrial Engineer possesses a minimum of ten (10) years of professional experience in manufacturing process engineering and holds a relevant professional certification. (e) Either party may terminate this Purchase Order with thirty (30) days' written notice; in such event, the buyer shall pay for all services rendered up to the date of termination. (f) Disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran in accordance with the rules of the Iran Chamber of Commerce, Industries, Mines and Agriculture.
