1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Iraq. All disputes arising from this Purchase Order related to the Industrial Engineer services in Iraq Baghdad shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
2. Delivery and Performance Location: All services rendered by the Industrial Engineer, including but not limited to site inspections, process audits, equipment calibration, and staff training sessions, shall be performed at the buyer's premises located in the Al-Mansour Industrial Zone, Iraq Baghdad. The Industrial Engineer shall report to the designated project office in Baghdad no later than 07:30 local time on each working day.
3. Payment Terms: Payment shall be made in United States Dollars (USD) via bank transfer to the supplier's designated account. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal installments: 35% upon completion of the mid-project Industrial Engineer assessment report, and 35% upon final delivery and acceptance of all project deliverables in Iraq Baghdad.
4. Project Timeline: The Industrial Engineer engagement shall commence on 01 July 2025 and shall be completed no later than 30 August 2025. Any extension of the timeline must be mutually agreed upon in writing and appended to this Purchase Order.
5. Quality and Compliance: The Industrial Engineer shall adhere to all applicable Iraqi industrial safety regulations, OSHA-equivalent standards, and the specific quality management protocols established by Tigris Industrial Development Co. Ltd. All work products must meet the specifications outlined in Annex A of this Purchase Order.
6. Confidentiality: The Industrial Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary processes, trade secrets, and operational data encountered during the engagement in Iraq Baghdad. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to political instability, sanctions, natural disasters, or government-mandated shutdowns affecting operations in Iraq Baghdad.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Industrial Engineer shall deliver all work-in-progress documentation and the buyer shall compensate for services rendered up to the termination date.
9. Warranty: The Industrial Engineer warrants that all recommendations, process designs, and system implementations delivered under this Purchase Order shall be free from material defects for a period of twelve (12) months from the date of final acceptance in Iraq Baghdad.
10. Insurance: The supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Industrial Engineer and all supporting staff operating within Iraq Baghdad for the duration of this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Industrial Engineer services and equipment procurement to be executed in Iraq Baghdad.
