The scope of work encompasses the design of lean manufacturing protocols, the implementation of statistical process control methodologies, and the development of a sustainable continuous improvement framework tailored to the specific operational requirements of our Jerusalem-based operations.

- Scope of Work: The Industrial Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the project specifications outlined in Annex A, attached to this document. All work shall be conducted at the client's premises in Israel Jerusalem unless otherwise agreed in writing.
- Timeline: The Industrial Engineer shall commence work no later than 01 August 2025. Phase 1 must be completed within 4 weeks of commencement. Failure to meet milestones may result in a penalty of 1.5% of the phase value per week of delay.
- Payment Terms: Payment shall be made in four installments: 25% upon signing, 35% upon completion of Phase 2, 25% upon delivery of Phase 3 deliverables, and 15% upon final acceptance of the 90-day post-implementation review. All payments shall be made via bank transfer to the account specified above within 30 days of invoice receipt.
- Confidentiality: The Industrial Engineer shall treat all operational data, proprietary processes, and business information of Jerusalem Industrial Solutions Ltd. as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Industrial Engineer and the vendor shall comply with all applicable Israeli labor laws, occupational health and safety regulations, and the specific industrial zone regulations governing operations in Israel Jerusalem.
- Intellectual Property: All reports, process designs, SOPs, and documentation produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of Jerusalem Industrial Solutions Ltd. upon full payment.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the client shall pay for all services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes shall be resolved by the competent courts in Jerusalem, Israel.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Israel Jerusalem, or acts of war.
