All services under this Purchase Order shall be executed within the metropolitan area of Italy Milan, specifically at the buyer's manufacturing facility located in the Sesto San Giovanni industrial district, which falls under the administrative jurisdiction of the City of Milan, Lombardy Region, Italy.
The Industrial Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of professional experience in manufacturing process engineering, lean manufacturing methodologies, and supply chain optimisation. The engineer must hold a recognised degree in Industrial Engineering (Laurea Magistrale in Ingegneria Gestionale) from an accredited Italian or European university and must be registered with the Ordine degli Ingegneri della Provincia di Milano.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale di Milano, located in the city of Milan, Italy.
- Place of Performance: All services rendered by the Industrial Engineer under this Purchase Order shall be performed at the buyer's premises in Italy Milan or at such other locations within the Milan metropolitan area as mutually agreed in writing. The Industrial Engineer is expected to be physically present at the Milan site for a minimum of five (5) working days per week during the active engagement period.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the supplier. Invoices must reference this Purchase Order number (IT-MIL-2025-04872) and must be issued in accordance with Italian invoicing regulations (Art. 21 of DPR 633/1972). Payment shall be made via bank transfer to the supplier's designated account in Milan.
- Confidentiality: The Industrial Engineer shall treat all proprietary information, trade secrets, and operational data of the buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. All documents and data shall be stored and processed in compliance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
- Intellectual Property: All reports, plans, methodologies, and deliverables produced by the Industrial Engineer specifically for the buyer under this Purchase Order shall become the exclusive property of Lombardy Industrial Solutions S.r.l. upon full payment. The Industrial Engineer retains the right to use general methodologies and pre-existing knowledge not derived from the buyer's confidential information.
- Health, Safety, and Compliance: The Industrial Engineer shall comply with all applicable Italian occupational health and safety regulations (D.Lgs. 81/2008) while on-site at the Italy Milan facility. The supplier shall ensure that the Industrial Engineer holds valid professional liability insurance with a minimum coverage of €1,000,000.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination. The Industrial Engineer shall deliver all work-in-progress documentation to the buyer within fourteen (14) days of the termination notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions affecting the Italy Milan region, or pandemics, provided that the affected party notifies the other within five (5) business days.
- Amendments: Any modification to the scope, timeline, or financial terms of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding the Industrial Engineer's duties or the Purchase Order conditions shall not be binding.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Industrial Engineer in Italy Milan. This document constitutes a binding commercial agreement between the parties upon execution.
