1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Seller. The Seller must confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
2. Commencement: The Industrial Engineer engagement shall commence no later than 1 July 2025 at the CIDG facility in Abidjan, Ivory Coast. The Seller is responsible for ensuring the Industrial Engineer possesses all necessary work permits, professional registrations, and insurance coverage required to operate legally in Ivory Coast Abidjan.
3. Payment Schedule: Payment shall be made in three (3) equal installments of 12,000,000 XOF each. The first installment is due upon commencement of the Industrial Engineer engagement. The second installment is due at the midpoint of the contract period. The final installment is due upon successful delivery and acceptance of all final deliverables as specified in this Purchase Order.
4. Performance Standards: The Industrial Engineer shall adhere to all applicable Ivorian labor laws, industrial safety regulations, and professional engineering standards. All work products must meet the quality benchmarks established by CIDG and comply with the regulatory framework governing industrial operations in Ivory Coast Abidjan.
5. Confidentiality: The Industrial Engineer and the Seller shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of CIDG. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Seller shall be compensated for all services rendered by the Industrial Engineer up to the date of termination, less any applicable penalties for non-performance.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the rules of the Ivorian Chamber of Commerce.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting operations in Ivory Coast Abidjan.
9. Intellectual Property: All reports, designs, process documentation, and deliverables produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of CIDG upon full payment.
10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Industrial Engineer in Abidjan, Ivory Coast. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein.
