This Purchase Order is issued by Osaka Precision Manufacturing Co., Ltd. (hereinafter referred to as the "Buyer") to Kanto Industrial Engineering Solutions Inc. - Acceptance: This Purchase Order shall become effective upon written acceptance by the Seller. The Industrial Engineer named in this Purchase Order shall not commence any work at the Japan Osaka facility until both parties have executed this document.
- Payment Terms: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the mid-project review by the Industrial Engineer in Japan Osaka, and 30% upon final delivery of all reports and completion of the engagement. All payments shall be made via bank transfer to the Seller's designated account in Japan Osaka.
- Performance Period: The Industrial Engineer shall perform all services outlined in this Purchase Order within a period of one hundred and eighty (180) calendar days from the date of acceptance, with all on-site work conducted at the Buyer's premises in Japan Osaka.
- Qualifications: The Industrial Engineer engaged under this Purchase Order must hold a valid Professional Engineer (P.E.) license registered in Japan, a Certified Industrial Engineer (CIE) designation, and a minimum of ten (10) years of experience in manufacturing process optimization. The Industrial Engineer must be fluent in both Japanese and English to facilitate communication with the Japan Osaka plant staff.
- Confidentiality: The Industrial Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer encountered during the engagement in Japan Osaka. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All reports, analyses, process maps, and recommendations produced by the Industrial Engineer specifically for the Japan Osaka facility under this Purchase Order shall become the sole property of the Buyer upon full payment.
- Compliance: The Industrial Engineer shall comply with all applicable Japanese labor laws, occupational safety regulations (OSH Act), and local ordinances of Japan Osaka. The Buyer shall provide all necessary site access, safety equipment, and working conditions in accordance with Japanese industrial standards.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Industrial Engineer for all work completed up to the date of termination, as documented in the Japan Osaka project log.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Osaka, and if unresolved, through arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) seated in Osaka.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with the Osaka District Court having exclusive jurisdiction over any litigation matters.
The Industrial Engineer is required to report to the Japan Osaka facility at 08:00 JST on the first day of the engagement and shall coordinate daily with the Buyer's Plant Manager, Mr. Hiroshi Yamamoto. All deliverables must be submitted to the Buyer's procurement office in Japan Osaka no later than 17:00 JST on the agreed delivery dates. The Industrial Engineer shall maintain a detailed daily activity log documenting all hours worked, observations made, and progress achieved at the Japan Osaka site. Any changes to the scope of work outlined in this Purchase Order must be approved in writing by both parties before implementation.

This Purchase Order (PO-JOS-2025-04871) is issued in Japan Osaka and is valid for a period of ninety (90) days from the date of issue. After the expiration of this period, this Purchase Order shall be null and void unless renewed in writing by both parties. This document is printed in duplicate, with one copy retained by the Buyer in Japan Osaka and one copy provided to the Seller. Both copies carry equal legal weight. The Industrial Engineer services described herein are subject to the full terms and conditions stated above and any applicable Japanese commercial regulations.
