This Purchase Order is issued by Almaty Industrial Development Group LLP (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Industrial Engineer to be deployed at the Buyer's manufacturing and logistics facilities located in Kazakhstan Almaty. The scope of work encompasses process optimization, production line efficiency analysis, supply chain workflow redesign, quality control system implementation, and operational cost reduction strategies tailored to the industrial landscape of the Almaty region.
The Industrial Engineer engaged under this Purchase Order shall possess a minimum of eight (8) years of documented professional experience in manufacturing operations, lean manufacturing methodologies, Six Sigma certification (Black Belt or higher), and familiarity with the regulatory and industrial standards applicable within the Republic of Kazakhstan. The engineer shall be physically present at the Buyer's premises in Kazakhstan Almaty for a minimum of five (5) working days per week throughout the contract duration.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and all applicable industrial and labor regulations in force in Kazakhstan Almaty at the time of execution.
- Service Period: The Industrial Engineer shall render services for a period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement of both parties.
- Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of receipt of a valid invoice. The first installment shall be due within ten (10) business days of the effective date of this Purchase Order. All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the account designated by the Supplier.
- Performance Standards: The Industrial Engineer shall deliver a minimum of two (2) comprehensive progress reports per month to the Buyer's Operations Director. All deliverables must comply with the quality benchmarks established in the attached Statement of Work (SOW-ALM-2025-04782).
- Confidentiality: All proprietary data, production methodologies, and operational metrics of the Buyer's facilities in Kazakhstan Almaty shall be treated as strictly confidential. The Industrial Engineer shall sign a separate Non-Disclosure Agreement (NDA) prior to commencing work.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the Supplier shall return all Buyer property and documentation within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the Arbitration Court of Almaty City, Kazakhstan, as the exclusive forum for adjudication.
- Compliance: The Supplier warrants that the Industrial Engineer shall comply with all occupational health and safety regulations, labor laws, and industrial standards mandated by the Republic of Kazakhstan, including those enforced by the Almaty City Department of Industrial Safety.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Kazakhstan Almaty.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Industrial Engineer services in Kazakhstan Almaty. This document, together with the attached Statement of Work and Non-Disclosure Agreement, forms the complete contractual framework governing the engagement.
