- This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions Sdn. Bhd. and Apex Engineering & Consultancy Services Sdn. Bhd. upon written acceptance by both parties. All services shall be rendered in accordance with the Malaysian Employment Act 1955 and applicable regulations in Malaysia Kuala Lumpur.
- The appointed Industrial Engineer must hold a minimum of a Bachelor's degree in Industrial Engineering (or equivalent) from a recognised Malaysian or international institution, possess a valid Professional Engineer (Ir.) registration with the Board of Engineers Malaysia (BEM), and demonstrate a minimum of seven (7) years of hands-on experience in manufacturing process improvement.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Payment shall be processed via bank transfer to the account specified in Section 2. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Trade Debts and Interest (Special Provisions) Act 1998 of Malaysia.
- The Industrial Engineer shall comply with all health, safety, and environmental protocols at the Meridian facility in Malaysia Kuala Lumpur, including but not limited to OSHA 1994 requirements, CIDB safety guidelines, and site-specific induction procedures. Personal Protective Equipment (PPE) shall be provided by the client.
- All deliverables, including process maps, simulation files, training materials, and the final optimisation report, shall be submitted in both digital (PDF and editable formats) and hard-copy (three (3) bound copies) to the Procurement Manager at the Malaysia Kuala Lumpur headquarters.
- Confidentiality: The Industrial Engineer and all supporting personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, production figures, and operational methodologies of Meridian Industrial Solutions Sdn. Bhd. shall remain strictly confidential and shall not be disclosed to any third party without prior written consent.
- Any variation or amendment to the scope of work outlined in this Purchase Order must be documented in a formal Variation Order signed by both parties. No additional charges shall be accepted without prior written approval from the Procurement Manager.
- This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Malaysia Kuala Lumpur.
- The supplier warrants that the Industrial Engineer assigned to this engagement shall not be concurrently engaged in a competing capacity for any other manufacturing entity within the Klang Valley region during the contract period.
- This Purchase Order is valid for sixty (60) days from the date of issue. Failure to accept within this period shall render this document null and void without further notice.
