This Purchase Order is issued by Grupo Industrial del Valle, S.A. de C.V. to formally request and authorize the engagement of a qualified Industrial Engineer to provide comprehensive process optimization, operational efficiency analysis, and production line redesign services at the buyer's manufacturing facility located in Mexico Mexico City. The Industrial Engineer shall be responsible for conducting a full audit of the current production workflows, identifying bottlenecks, implementing lean manufacturing methodologies, and delivering a detailed action plan to reduce operational costs by a minimum of fifteen percent (15%) within the contracted period.

The Industrial Engineer engaged under this Purchase Order shall perform all duties at the buyer's primary manufacturing plant situated in the Cuauhtémoc borough of Mexico Mexico City. The scope includes but is not limited to: (a) a minimum of sixty (60) on-site working days over a twelve-week period; (b) the development of a comprehensive operational efficiency report; (c) the design and simulation of an optimized production layout; (d) the training of no fewer than twenty-five (25) plant supervisors and line operators in lean principles; and (e) the delivery of all technical documentation in both Spanish and English. The Industrial Engineer must hold a valid professional license (cédula profesional) issued by the relevant authority in Mexico and possess a minimum of ten (10) years of experience in industrial engineering within the manufacturing sector.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties and is governed by the commercial laws of the United Mexican States, with jurisdiction in Mexico Mexico City.
- The Industrial Engineer shall commence work no later than July 1, 2025, and shall complete all deliverables by September 30, 2025, unless otherwise agreed in writing.
- Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the mid-project milestone review, and 30% upon final acceptance of all deliverables by the Buyer's Operations Director.
- The Supplier shall provide a valid CFDI (Comprobante Fiscal Digital por Internet) invoice for each payment installment, in compliance with SAT regulations applicable in Mexico Mexico City.
- The Industrial Engineer shall maintain full professional confidentiality regarding all proprietary processes, data, and trade secrets of the Buyer. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties. No additional charges shall apply without prior written authorization.
- In the event of non-performance or material breach, the Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice, and the Supplier shall refund any unearned fees within fifteen (15) business days.
- All disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Chamber (Cámara de Arbitraje Mexicana).
- The Industrial Engineer is responsible for obtaining all necessary permits, insurance coverage (minimum MXN 5,000,000 liability), and safety certifications required to operate within the Buyer's facility in Mexico Mexico City.
- This Purchase Order shall remain in full force and effect until all obligations of both parties have been satisfied in full.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Purchase Order for the engagement of an Industrial Engineer to deliver professional services at the Buyer's facility in Mexico Mexico City. This document is executed in two (2) original copies, one for each party.
