This Purchase Order is issued by Himalayan Industrial Development Corporation Pvt. Ltd., a registered industrial enterprise operating in Nepal Kathmandu, to formally request and authorize the procurement of professional services rendered by a qualified Industrial Engineer. This document constitutes a binding commercial agreement between the Buyer and the Supplier for the engagement of an Industrial Engineer to perform process optimization, production line analysis, and operational efficiency assessments at the Buyer's manufacturing facility located in the Kathmandu Valley, Nepal.
The Industrial Engineer engaged under this Purchase Order shall provide the following professional services at the Buyer's production plant in Nepal Kathmandu:

- Acceptance: This Purchase Order shall become effective upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to respond within this period shall be construed as rejection of the order.
- Qualification of the Industrial Engineer: The Industrial Engineer assigned to this project must hold a minimum of a Bachelor's degree in Industrial Engineering or a related discipline from a recognized university in Nepal or abroad, and must possess a valid professional license issued by the Nepal Engineering Council. A minimum of seven (7) years of hands-on experience in manufacturing process improvement within the Nepal Kathmandu industrial sector is required.
- Delivery Schedule: All deliverables specified in this Purchase Order must be completed within a total project duration of eight (8) calendar months from the date of contract commencement. The Industrial Engineer shall submit a detailed project timeline within ten (10) days of contract signing.
- Payment Terms: Payment shall be made in three installments: 30% upon project commencement, 40% upon delivery of the mid-term progress report, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Supplier's designated account in Nepal. Payment is due within thirty (30) days of invoice submission.
- Performance Standards: The Industrial Engineer shall adhere to the Nepal Standards and Metrology Department (NSMD) guidelines and applicable international standards (ISO 9001, ISO 14001) in all analyses and recommendations. All work must comply with the labor laws and industrial regulations of the Government of Nepal.
- Confidentiality: The Industrial Engineer and the Supplier shall treat all proprietary data, production figures, and operational information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and approved deliverables up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act of Nepal, with the seat of arbitration in Kathmandu, Nepal.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, including the Contract Act, 2023, and the Companies Act, 2063.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes common in the Nepal Kathmandu region), government-imposed lockdowns, or other events beyond reasonable control.
