The Industrial Engineer engaged under this Purchase Order shall be a registered professional with the Institution of Professional Engineers New Zealand (IPENZ) and shall hold a minimum of eight (8) years of post-qualification experience in industrial systems engineering, lean manufacturing, and supply chain optimisation. All work performed under this Purchase Order must comply with the New Zealand Building Code, the Health and Safety at Work Act 2015, and all applicable local bylaws of the Wellington City Council.

All services specified in this Purchase Order shall be performed at the following locations within New Zealand Wellington:

The Industrial Engineer shall be required to be physically present at the designated New Zealand Wellington sites during all on-site assessment and implementation phases. Remote or hybrid work arrangements may be considered for reporting and modelling phases only, subject to written approval from the buyer's project manager.

• Payment shall be made in NZD via bank transfer to the supplier's nominated account.
• 30% advance payment upon acceptance of this Purchase Order: $27,306.75
• 40% milestone payment upon completion of Items 01, 02, and 03: $36,409.00
• 30% final payment upon delivery and acceptance of the final performance report (Item 06): $27,306.75
• All invoices must reference this Purchase Order number (NZW-IE-2025-04782).
• Payment terms: Net 14 days from date of invoice receipt.
• Late payment shall attract interest at the rate prescribed under the New Zealand Late Payment of Debts Interest Act 1993.

• This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the Contract and Commercial Law Act 2017.
• The Industrial Engineer engaged under this Purchase Order shall maintain professional indemnity insurance of no less than NZD $5,000,000 per claim and public liability insurance of no less than NZD $10,000,000.
• All intellectual property, process designs, and documentation produced under this Purchase Order shall become the sole property of Wellington Industrial Solutions Ltd. upon full payment.

• Disputes arising from this Purchase Order shall be resolved through mediation in Wellington, New Zealand, in accordance with the Disputes Standards Act 2017, before escalation to the District Court of Wellington.
• This Purchase Order does not constitute a guarantee of specific operational outcomes. The Industrial Engineer's deliverables shall be assessed against the agreed scope and professional standards of IPENZ.
• Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged under this Purchase Order for a period of three (3) years following completion of services.
