- This Purchase Order constitutes a binding agreement between Abuja Industrial Development Corporation Limited (hereinafter "the Buyer") and Apex Industrial Consulting Engineers Ltd. (hereinafter "the Supplier") for the procurement of Industrial Engineer professional services and associated equipment for the Buyer's facility in Nigeria Abuja.
- The Industrial Engineer engaged under this Purchase Order shall hold a valid professional registration with the Council for the Regulation of Engineering in Nigeria (COREN) and shall present such credentials prior to commencing any work at the Nigeria Abuja site.
- All deliverables, including the feasibility report, process optimisation plans, and training materials, shall be submitted to the Buyer's Project Management Office at the AIDC headquarters in Nigeria Abuja within the timelines specified in the attached Statement of Work (SOW).
- Payment shall be made in three (3) tranches: 40% upon successful mobilisation of the Industrial Engineer to the Nigeria Abuja site, 35% upon delivery and acceptance of the feasibility report, and 25% upon completion of the six-month on-site supervision period. All payments shall be processed within thirty (30) days of invoice submission in accordance with the terms of this Purchase Order.
- The Supplier shall bear all costs associated with the transportation, accommodation, and per diem of the Industrial Engineer and any supporting technical staff while on assignment in Nigeria Abuja, unless otherwise stated in the SOW.
- Any variation, amendment, or extension to the scope of work defined in this Purchase Order must be approved in writing by both parties. No verbal instructions shall be binding. The Buyer reserves the right to request a revised quotation from the Supplier for any additional Industrial Engineer services beyond the original scope.
- The Supplier warrants that all equipment supplied under this Purchase Order shall be new, of industrial grade, and free from defects. A minimum warranty period of twelve (12) months shall apply to all hardware items delivered to the Nigeria Abuja facility.
- In the event of default, breach, or failure to deliver the Industrial Engineer services as specified, the Buyer shall be entitled to terminate this Purchase Order with fourteen (14) days' written notice and shall be entitled to a full refund of any advance payments made, less the value of services already rendered and accepted.
- All work performed under this Purchase Order shall comply with the standards and regulations of the Federal Capital Territory (FCT) Ministry of Industry, Trade and Investment, as well as applicable Nigerian industrial safety codes enforced in Nigeria Abuja.
- Confidentiality: The Supplier and the Industrial Engineer shall treat all proprietary information, production data, and trade secrets of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
