The Industrial Engineer engaged under this Purchase Order shall perform all duties and deliverables strictly within the jurisdiction of the Philippines Manila metropolitan area, including but not limited to the cities of Makati, Pasig, Mandaluyong, and Taguig. The Industrial Engineer shall submit a comprehensive Process Improvement Report within thirty (30) calendar days of commencing work. All deliverables must comply with the standards set forth by the Professional Regulation Commission (PRC) of the Philippines and the Department of Labor and Employment (DOLE) regulations applicable to the Philippines Manila region.
3. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. The Purchase Order shall be governed by the laws of the Republic of the Philippines.
- The Industrial Engineer must hold a valid Professional Regulation Commission (PRC) license and a valid Philippine Council for Accreditation of Engineering Education (PACAE) certification. Proof of licensure must be submitted prior to the commencement of services in the Philippines Manila area.
- All services rendered by the Industrial Engineer shall be performed at the Buyer's designated facilities within the Philippines Manila metropolitan region. Travel and transportation within the Philippines Manila area are included in the unit prices stated above.
- Payment shall be made within thirty (30) days from the date of receipt of a valid official receipt and completion certificate for each milestone. Payment shall be processed via bank transfer to the Seller's designated account in the Philippines Manila banking system.
- The Seller warrants that the Industrial Engineer shall maintain full-time availability during regular business hours (Monday to Friday, 8:00 AM to 6:00 PM Philippine Standard Time) for the duration of the engagement in the Philippines Manila area.
- Any modification, amendment, or cancellation of this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the scope of the Industrial Engineer's duties in the Philippines Manila region shall not be enforceable.
- The Seller shall indemnify and hold harmless the Buyer against any claims, damages, or liabilities arising from the negligence or professional malpractice of the Industrial Engineer while performing duties in the Philippines Manila area.
- Confidentiality: All proprietary information, trade secrets, and operational data of the Buyer accessed by the Industrial Engineer during the course of this Purchase Order in the Philippines Manila region shall remain strictly confidential and shall not be disclosed to any third party.
- Disputes arising from this Purchase Order shall be resolved through mediation in the Philippines Manila area before resorting to litigation in the appropriate courts of the Philippines Manila judicial district.
All deliverables produced by the Industrial Engineer under this Purchase Order shall be submitted to the Buyer's Procurement Department at the One Ayala Center office in the Philippines Manila area. The Buyer shall have ten (10) business days to review and accept or reject each deliverable. Rejection must be accompanied by a written justification specifying the deficiencies. The Industrial Engineer shall have five (5) business days to rectify any rejected items at no additional cost to the Buyer.
