The Supplier shall provide the services of a certified Industrial Engineer with a minimum of ten (10) years of professional experience in manufacturing process optimization, lean manufacturing implementation, and production systems design. The Industrial Engineer shall be assigned to the Buyer's primary manufacturing plant situated at 88, Proletarskaya Avenue, Moscow, Russia Moscow 127254, for a continuous engagement period of six (6) months commencing on 1 July 2025 and concluding on 31 December 2025.

The specific duties and responsibilities of the Industrial Engineer under this Purchase Order shall include, but are not limited to, the following:

• Conducting a comprehensive time-and-motion study across all three production lines at the Russia Moscow facility to identify bottlenecks, redundancies, and areas of operational inefficiency.
• Designing and implementing a revised workstation layout that reduces material handling distances by a minimum of twenty-five percent (25%) and improves overall equipment effectiveness (OEE) by at least fifteen percent (15%).
• Developing a detailed Standard Operating Procedure (SOP) manual for each production stage, incorporating ergonomic assessments and safety compliance in accordance with Russian Federal Labor Code provisions applicable in Russia Moscow.
• Performing a full value-stream mapping exercise and delivering a written report with actionable recommendations for waste elimination within the first ninety (90) days of the engagement.
• Providing weekly progress reports to the Buyer's Operations Director and presenting a final comprehensive project report upon completion of the six-month term.
• Training a minimum of twelve (12) on-site supervisors and team leads in lean manufacturing principles, statistical process control (SPC), and continuous improvement methodologies.

Payment shall be made in three (3) equal installments of 1,505,200 RUB each, due on the 1st of July 2025, the 1st of October 2025, and the 1st of January 2026, respectively. 1. This Purchase Order is governed by and shall be construed in accordance with the laws of the Russian Federation, including all applicable federal and municipal regulations in force in Russia Moscow.
2. The Industrial Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary manufacturing data, process parameters, and trade secrets of the Buyer. Breach of confidentiality shall result in immediate termination of this Purchase Order and liability for damages.
3. The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 5,000,000 RUB for the entire duration of the Industrial Engineer's engagement in Russia Moscow.
4. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the date of termination, plus a cancellation fee of ten percent (10%) of the remaining contract value.
5. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of the City of Moscow, Russia Moscow, in accordance with the applicable procedural rules.
