1. This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation and applicable regulations of the city of Saint Petersburg.
2. The Industrial Engineer shall commence duties no later than 1 July 2025 at the Northwind Industrial Solutions facility, 142 Liteyny Avenue, Saint Petersburg, Russia. All work shall be performed on-site unless otherwise agreed in writing.
3. Payment terms: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of the mid-term process audit (Month 6); 30% upon final delivery of all documentation and the 12-month improvement roadmap. All payments shall be made via bank transfer to the account specified above within 15 business days of invoice receipt.
4. The Industrial Engineer shall comply with all occupational health and safety regulations applicable in Russia Saint Petersburg, including but not limited to Federal Law No. 426-FZ on Special Assessment of Working Conditions.
5. The vendor shall provide a replacement Industrial Engineer of equivalent or higher qualification within 5 business days should the assigned professional become unavailable for any reason.
6. All intellectual property, process documentation, and proprietary data generated during the engagement shall remain the exclusive property of Northwind Industrial Solutions LLC. The Industrial Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
7. This Purchase Order may be amended only by mutual written consent of both parties. Any changes to scope, timeline, or compensation must be documented in a formal Change Order attached to this Purchase Order.
8. Disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and the Leningrad Region.
NOTE: The Industrial Engineer must hold a valid work permit or employment contract registered with the Federal Migration Service of Russia. All professional certifications (e.g., CIE, PMP, Six Sigma Black Belt) must be verified prior to the start date. The vendor is responsible for obtaining all necessary clearances for the Industrial Engineer to access the restricted production areas of the Saint Petersburg facility.
