This Purchase Order is issued by Al-Riyadh Industrial Development Co., Ltd. to formally procure the professional services of a qualified Industrial Engineer to be deployed and operate within the Saudi Arabia Riyadh metropolitan area. All prices are quoted in Saudi Riyal (SAR). VAT is calculated at the standard rate of 15% as per the Zakat and Tax Authority (ZATCA) regulations applicable in Saudi Arabia Riyadh. The Industrial Engineer service fees are inclusive of all travel, accommodation, and per diem expenses within the Riyadh metropolitan area.
TERMS AND CONDITIONS OF THIS PURCHASE ORDER- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Saudi Arabia Riyadh or through arbitration under the Saudi Center for Commercial Arbitration (SCCA) as mutually agreed by both parties.
- Scope of Work: The Industrial Engineer shall perform all duties and deliverables as specified in the line items above. The Industrial Engineer must hold a minimum of a Bachelor's degree in Industrial Engineering from an accredited institution and possess a valid professional license recognized by the Saudi Council of Engineers. A minimum of eight (8) years of relevant experience in manufacturing and operations management is required.
- Commencement and Duration: Services shall commence on 1 July 2025 and continue for a period of six (6) months, subject to renewal by mutual written agreement. The Industrial Engineer shall be physically present at the Buyer's facility in Saudi Arabia Riyadh during standard business hours (Sunday through Thursday, 8:00 AM to 5:00 PM).
- Payment Schedule: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. A 25% advance payment is due upon acceptance of this Purchase Order. The remaining balance shall be paid in monthly installments aligned with the delivery milestones outlined in the line items. All payments shall be made via bank transfer to the Supplier's designated account in Saudi Arabia Riyadh.
- Confidentiality: The Industrial Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, operational data, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Saudi Regulations: The Supplier and the Industrial Engineer shall comply with all applicable Saudi Arabian labor laws, Saudization (Nitaqat) requirements, and occupational health and safety regulations as enforced in Saudi Arabia Riyadh. The Industrial Engineer must hold a valid Iqama (residence permit) and work authorization for the duration of the engagement.
- Intellectual Property: All reports, analyses, process designs, and documentation produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier retains no rights to reuse, publish, or distribute such materials without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier or failure of the Industrial Engineer to meet agreed performance benchmarks, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress documentation and hand over all project files related to the Saudi Arabia Riyadh operations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Saudi Arabia Riyadh.
- Acceptance: This Purchase Order becomes binding upon signature by authorized representatives of both parties. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and the scope of Industrial Engineer services described herein.
