This Purchase Order is issued by Société Industrielle du Sénégal S.A. to procure the professional services of a qualified Industrial Engineer for a period of twelve (12) months, commencing on 1 August 2025. The Industrial Engineer shall be physically stationed at the buyer's manufacturing facility located in the Zone Industrielle de Ngor, Senegal Dakar, and shall report directly to the Director of Operations.
The scope of work for the Industrial Engineer assigned under this Purchase Order includes, but is not limited to, the following deliverables and responsibilities:
- Conduct a comprehensive process optimization audit of all production lines at the Senegal Dakar facility, with a focus on reducing cycle times by a minimum of fifteen percent (15%) within the first six months of engagement.
- Design and implement lean manufacturing methodologies, including 5S workplace organization, value stream mapping, and just-in-time inventory management systems tailored to the operational context of Senegal Dakar.
- Develop and deploy a computerized maintenance management system (CMMS) to reduce unplanned equipment downtime by twenty percent (20%) across all production assets.
- Provide weekly progress reports and monthly performance dashboards to the buyer's management team, detailing key performance indicators (KPIs) relevant to the Industrial Engineer's assigned projects.
- Train a minimum of twenty (20) local technicians and supervisors in Senegal Dakar on industrial engineering best practices, statistical process control, and continuous improvement frameworks.
- Coordinate with local regulatory authorities in Senegal Dakar to ensure all process modifications comply with Senegalese industrial safety standards and environmental regulations.

All amounts are stated in United States Dollars (USD). Payment shall be made via wire transfer to the supplier's designated bank account. Invoices shall be submitted on the first business day of each month for the preceding month's services. Payment terms are Net 30 days from the date of invoice receipt. The buyer shall be responsible for any applicable Senegalese withholding tax on services rendered in Senegal Dakar, in accordance with the tax treaty between the Republic of Senegal and the United States of America.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein shall be governed by the laws of the Republic of Senegal, with particular reference to the Senegalese Code of Obligations and the regulations applicable to foreign professional services providers operating in Senegal Dakar.
- The Industrial Engineer named in this Purchase Order shall maintain all necessary professional licenses, certifications, and insurance coverage throughout the duration of the engagement. The supplier shall provide proof of professional liability insurance with a minimum coverage of $1,000,000 per occurrence.
- The Industrial Engineer shall comply with all local labor laws, immigration regulations, and work permit requirements applicable to foreign professionals in Senegal Dakar. The buyer shall assist in the processing of the necessary work authorization and residence permit.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall pay for all services rendered up to the effective date of termination. In the event of termination for cause, the terminating party shall be entitled to seek damages in accordance with applicable law.
- All intellectual property developed specifically for the buyer during the course of this engagement shall become the sole property of the buyer upon full payment. The Industrial Engineer retains the right to use general methodologies and pre-existing knowledge not specific to the buyer's operations.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, political instability, epidemics, or government actions affecting operations in Senegal Dakar.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration in Dakar, Senegal, in accordance with the rules of the International Chamber of Commerce (ICC).
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of an Industrial Engineer in Senegal Dakar. This document, together with any attached exhibits or addenda, constitutes the entire agreement between the parties with respect to the subject matter herein.
