The Industrial Engineer shall be responsible for the following deliverables and activities throughout the contract period:

5.1 This Purchase Order constitutes a binding agreement between Transvaal Manufacturing & Process Solutions (Pty) Ltd and Goldengate Engineering Consultancy (Pty) Ltd upon signature by both authorised representatives. All services shall be rendered in Johannesburg, South Africa, at the buyer's premises unless otherwise agreed in writing.
5.2 The Industrial Engineer engaged under this Purchase Order must hold a BEng or BEng(Hons) in Industrial Engineering from a recognised South African institution, be registered with the Engineering Council of South Africa (ECSA), and possess a valid professional indemnity insurance certificate with a minimum cover of R 5,000,000.
5.3 Payment shall be made in monthly instalments of R 109,633.33 (inclusive of VAT) over the 12-month contract period, due within 30 days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed by the National Credit Act, No. 34 of 2005, as applicable in South Africa.
5.4 The supplier warrants that the Industrial Engineer shall comply with all applicable South African labour laws, including the Basic Conditions of Employment Act (Act 75 of 1997), the Labour Relations Act (Act 66 of 1995), and the Occupational Health and Safety Act (Act 85 of 1993).
5.5 Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the effective date of termination, as itemised in a final invoice.
5.6 All intellectual property, process designs, and documentation developed by the Industrial Engineer specifically for the buyer's Johannesburg operations shall become the sole property of the buyer upon full payment.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
5.8 The supplier shall maintain full confidentiality regarding all proprietary information, trade secrets, and operational data of the buyer. Breach of confidentiality shall render the supplier liable for damages in accordance with the Protection of Personal Information Act (POPIA), No. 4 of 2013.
