1. This Purchase Order constitutes a binding agreement between Iberia Manufacturing Solutions S.L. and Engineering Talent Partners S.L. for the provision of Industrial Engineer professional services in Spain Barcelona, effective from the date of mutual signature.
2. The Industrial Engineer assigned to this engagement must hold a minimum of a Bachelor's degree in Industrial Engineering (Ingeniería Industrial) from an accredited Spanish or EU institution, with a minimum of five (5) years of relevant experience in manufacturing process optimization.
3. All services shall be performed on-site at the buyer's facility located in Zona Franca, Barcelona, Spain, during standard business hours (Monday to Friday, 08:00–17:00 CET), unless otherwise agreed in writing.
4. The vendor shall ensure that the Industrial Engineer complies with all applicable Spanish labor regulations, data protection laws (GDPR), and occupational health and safety standards in force in Spain Barcelona and the broader Catalonia region.
5. Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Spanish commercial law.
6. The vendor reserves the right to substitute the assigned Industrial Engineer with a candidate of equivalent or superior qualifications, subject to prior written approval from the buyer's Operations Director.
7. All intellectual property, process documentation, and analytical outputs generated by the Industrial Engineer during the course of this engagement shall be the exclusive property of Iberia Manufacturing Solutions S.L.
8. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall be liable for services rendered up to the termination date plus a 10% administrative fee.
9. This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
10. The vendor shall maintain professional liability insurance with a minimum coverage of €1,000,000 for the duration of this engagement, with the buyer named as an additional insured party.
