This Purchase Order is issued by Nile Industrial Development Corporation (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Industrial Engineer for the execution of process optimization, production line redesign, and operational efficiency studies at the Buyer's manufacturing facilities located in Sudan Khartoum. The Industrial Engineer shall provide full-time professional consultancy services for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless otherwise extended by mutual written agreement.
The Industrial Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Buyer's premises in Sudan Khartoum:

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Industrial Engineer within fourteen (14) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Qualifications: The Industrial Engineer must hold a minimum of a Bachelor's degree in Industrial Engineering from a recognized Sudanese or international university, possess a valid professional license issued by the Sudanese Engineers Syndicate, and demonstrate a minimum of eight (8) years of relevant experience in manufacturing environments within Sudan Khartoum or comparable industrial settings.
- Performance Location: All services described in this Purchase Order shall be performed at the Buyer's facilities located in Sudan Khartoum, specifically at the Khartoum East Industrial Zone, Plot 17, unless otherwise directed in writing by the Buyer's Project Manager.
- Payment Schedule: Payment shall be made in accordance with the milestones outlined in Section 2. Invoices submitted by the Industrial Engineer shall be processed within thirty (30) days of receipt. All payments shall be made in Sudanese Pounds (SDG) via bank transfer to the account specified by the Industrial Engineer.
- Confidentiality: The Industrial Engineer agrees to maintain strict confidentiality regarding all proprietary information, production data, and trade secrets of the Buyer encountered during the performance of services in Sudan Khartoum. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Industrial Engineer for all services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from this engagement shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
- Insurance and Liability: The Industrial Engineer shall maintain professional indemnity insurance with a minimum coverage of 5,000,000 SDG throughout the duration of this Purchase Order. The Buyer shall not be held liable for any personal injury or property damage sustained by the Industrial Engineer while on the Buyer's premises in Sudan Khartoum, except in cases of gross negligence by the Buyer.
- Compliance: The Industrial Engineer shall comply with all applicable Sudanese labor laws, occupational health and safety regulations, and municipal bylaws applicable to professional services providers operating in Sudan Khartoum.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
