1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services shall be rendered at the Buyer's premises in Turkey Ankara unless otherwise agreed in writing.
2. The Industrial Engineer assigned to this engagement must hold a minimum of a Bachelor's degree in Industrial Engineering from an accredited Turkish university and possess no fewer than eight (8) years of relevant professional experience in manufacturing or logistics environments.
3. Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion of the Lean Manufacturing implementation phase, and the remaining 30% upon final delivery of all reports and completion of training sessions. All payments shall be made via bank transfer to the Supplier's designated account in Turkey Ankara.
4. The Industrial Engineer shall comply with all applicable Turkish labor regulations, data protection laws (KVKK — Law No. 6698), and site-specific safety protocols at the Turkey Ankara facility. The Supplier is responsible for providing all necessary personal protective equipment (PPE) for the Industrial Engineer during on-site work.
5. Project timeline: All deliverables under this Purchase Order shall be completed within a period of one hundred and twenty (120) calendar days from the date of the advance payment. Any extension must be mutually agreed upon in writing and documented as an amendment to this Purchase Order.
6. Confidentiality: The Industrial Engineer and the Supplier shall treat all proprietary information, production data, and operational metrics of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Intellectual property: All reports, process maps, optimization models, and training materials produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
8. Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation first, followed by mediation, and ultimately by the competent courts in Turkey Ankara in accordance with the Turkish Code of Obligations (Law No. 6098).
9. The Supplier warrants that the Industrial Engineer shall not be engaged in any conflicting consultancy or employment arrangement with any competing entity in the Turkey Ankara industrial sector during the term of this Purchase Order.
10. This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Turkey. The primary language of this document and all related communications shall be English, with Turkish translations available upon request for regulatory compliance purposes.
