This Purchase Order authorizes the engagement of qualified Industrial Engineer professionals by Anatolia Engineering & Consulting Ltd. to perform comprehensive operational improvement services at the Meridian Industrial Solutions A.Ş. manufacturing and distribution facilities located in Turkey Istanbul. The Industrial Engineer team shall be responsible for conducting on-site assessments, developing actionable improvement plans, implementing process changes, and delivering final reports in both English and Turkish. All work shall be performed in strict compliance with Turkish labor regulations, occupational health and safety standards (İSG), and the specific operational requirements of the Turkey Istanbul site. The Industrial Engineer personnel must hold a minimum of a Bachelor's degree in Industrial Engineering from an accredited Turkish or internationally recognized university, and possess a minimum of five (5) years of relevant professional experience in manufacturing or logistics environments.
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Turkey Istanbul.
- The Industrial Engineer services described herein shall commence no later than 01 July 2025 and shall be completed within the timelines specified in each line item. Delays exceeding ten (10) business days without written justification from the Seller shall entitle the Buyer to a penalty of 0.5% of the affected line item value per day of delay.
- All Industrial Engineer personnel assigned to this Purchase Order must present valid work permits and social security registrations (SGK) prior to commencing work at the Turkey Istanbul facility. The Seller is solely responsible for ensuring legal compliance of all personnel.
- Payment shall be made via bank transfer to the account designated by the Seller within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-IST-00472) and include the Seller's Tax ID (VKN) and Transaction Tax Number (TCKN).
- The Buyer reserves the right to request substitution of any Industrial Engineer assigned to this Purchase Order if performance is deemed unsatisfactory after a written notice period of five (5) business days.
- All intellectual property, process documentation, and improvement plans developed under this Purchase Order shall become the exclusive property of Meridian Industrial Solutions A.Ş. upon full payment. The Industrial Engineer team shall sign a non-disclosure agreement (NDA) prior to site access in Turkey Istanbul.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be binding.
- The Seller warrants that all Industrial Engineer services will be performed in a professional, workmanlike manner consistent with industry best practices and applicable Turkish engineering standards (TS EN).
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or pandemics affecting operations in Turkey Istanbul, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 48 hours.
- This Purchase Order constitutes the entire agreement between the parties regarding the Industrial Engineer services described herein and supersedes all prior negotiations, representations, or agreements.
