The scope of work encompasses a minimum of twelve (12) consecutive weeks of on-site and remote consulting, during which the Industrial Engineer will conduct time-and-motion studies, value stream mapping, lean manufacturing assessments, and capital equipment utilization reviews across all production lines operating within the United States Los Angeles metropolitan industrial corridor.

All services rendered under this Purchase Order shall be performed at the buyer's operational facility in United States Los Angeles, California. The Industrial Engineer is expected to be physically present at the Los Angeles site a minimum of four (4) days per week, with the remaining days allocated to remote analysis, report drafting, and coordination with the buyer's internal operations team. All deliverables, including final optimization reports, process flow diagrams, and capital expenditure recommendations, shall be submitted to the buyer's Project Management Office in Los Angeles no later than the dates specified in the attached Statement of Work (SOW-2025-IE-04872).

This Purchase Order is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association. The Industrial Engineer engaged under this agreement shall comply with all applicable occupational safety regulations enforced by Cal/OSHA and the federal Occupational Safety and Health Administration (OSHA) within the United States Los Angeles jurisdiction. The supplier warrants that the Industrial Engineer assigned to this project holds a valid Professional Engineer (PE) license issued by the California Board for Professional Engineers, Land Surveyors, and Geologists, and possesses a minimum of eight (8) years of relevant experience in manufacturing process engineering. All intellectual property generated during the course of this engagement, including proprietary process models, optimization algorithms, and workflow designs, shall remain the sole property of the buyer. The supplier shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and scope of work specified in this Purchase Order for the engagement of the Industrial Engineer at the United States Los Angeles facility. This document constitutes a binding contractual obligation upon execution by both authorized representatives.
