- Scope and Performance: The Industrial Engineer engaged under this Purchase Order shall perform all services in accordance with the American Society of Mechanical Engineers (ASME) professional standards and the applicable Florida Department of Business and Professional Regulation guidelines. All deliverables must be completed at the buyer's primary facility located in United States Miami, Florida, unless otherwise agreed in writing.
- Acceptance of Purchase Order: This Purchase Order constitutes a binding offer. The Seller's acceptance is confirmed by signing the acknowledgment section below and returning a copy to the buyer within five (5) business days of the date of issue. Failure to respond by the stated validity date shall render this Purchase Order null and void.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made via ACH transfer to the account designated by Precision Engineering Solutions LLC.
- Intellectual Property: All reports, models, process designs, and documentation created by the Industrial Engineer specifically for this engagement shall become the sole property of South Florida Manufacturing & Logistics Group, Inc. upon full payment. The Seller retains the right to use generalized methodologies and non-proprietary frameworks in future engagements.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, trade secrets, and operational information exchanged during the course of this Purchase Order. This obligation survives termination of the agreement for a period of three (3) years.
- Insurance and Liability: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and general liability insurance of $1,000,000. The Industrial Engineer shall indemnify the buyer against any claims arising from negligence or professional malpractice during the performance of services in United States Miami.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the buyer shall pay for all services rendered and approved deliverables completed through the termination date. Termination for cause requires a ten (10) day cure period.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
- Compliance: The Industrial Engineer shall comply with all applicable federal, state, and local regulations, including but not limited to OSHA workplace safety standards, Florida professional engineering licensing requirements, and all environmental regulations applicable to industrial operations in the United States Miami metropolitan area.
- Change Orders: Any modifications to the scope, schedule, or pricing outlined in this Purchase Order must be documented in a written Change Order signed by both parties before additional work commences.
