1. Description of Procurement

This Purchase Order is issued by Tashkent Industrial Development Group LLC for the procurement of a qualified Industrial Engineer professional services contract to be performed within the city of Uzbekistan Tashkent. The Industrial Engineer shall be responsible for optimizing manufacturing processes, conducting time-and-motion studies, designing production layouts, implementing lean manufacturing methodologies, and ensuring compliance with national industrial standards established by the Ministry of Industry and Innovation Development of the Republic of Uzbekistan. 3. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and the Labor Code of Uzbekistan. All disputes arising from this Purchase Order relating to the Industrial Engineer engagement shall be resolved in the competent courts of Tashkent, Uzbekistan Tashkent.
Delivery and Commencement: The Industrial Engineer personnel shall report to the buyer's facility in Uzbekistan Tashkent no later than 20 July 2025. The supplier guarantees that all Industrial Engineer candidates possess valid work permits and meet the qualification requirements set forth in Appendix A of this Purchase Order.
Payment Terms: Payment shall be made in United States Dollars (USD) equivalent to the UZS amounts stated herein, via bank transfer to the supplier's account at the National Bank of Uzbekistan. Payment is due within 30 days of invoice submission. A 10% advance payment is required upon acceptance of this Purchase Order.
Performance Standards: The Industrial Engineer team shall deliver measurable improvements in production throughput, reduction of waste, and compliance with ISO 9001:2015 standards within the first 90 days of engagement at the Uzbekistan Tashkent production site.
Confidentiality: All proprietary manufacturing data, process designs, and operational metrics shared with the Industrial Engineer team shall remain the exclusive property of the buyer. The supplier shall enforce strict non-disclosure obligations in accordance with Uzbekistan's Law on Commercial Secrets.
Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Industrial Engineer personnel shall be transitioned out of the Uzbekistan Tashkent facility in an orderly manner, and all company property shall be returned.
Warranty and Liability: The supplier warrants that the Industrial Engineer services shall be performed with professional skill and diligence. The supplier's total liability under this Purchase Order shall not exceed the total contract value of 496,500,000 UZS.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Uzbekistan Tashkent.

4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Industrial Engineer services to be rendered in Uzbekistan Tashkent. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
