• 3.1 – This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Industrial Engineer professional services in Venezuela Caracas. Both parties acknowledge that this document supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
• 3.2 – The Industrial Engineer assigned to this Purchase Order must present valid professional registration with the Venezuelan Council of Engineers (Consejo Profesional de Ingenieros) and must maintain professional liability insurance with a minimum coverage of USD 500,000 throughout the duration of the engagement in Venezuela Caracas.
• 3.3 – Payment shall be made in United States Dollars (USD) via wire transfer to the Seller's designated bank account in Venezuela Caracas. Payment schedule: 30% upon execution of this Purchase Order, 40% upon completion of the operational audit and process optimization phase, and 30% upon delivery and acceptance of the final strategic report.
• 3.4 – The Industrial Engineer shall work a standard schedule of Monday through Friday, 8:00 AM to 5:00 PM, at the Buyer's facility in Venezuela Caracas. Overtime work must be pre-approved in writing by the Buyer's project manager.
• 3.5 – All intellectual property, reports, methodologies, and documentation produced by the Industrial Engineer under this Purchase Order shall become the exclusive property of Industrias del Caribe C.A. upon full payment.
• 3.6 – The Seller warrants that the Industrial Engineer will comply with all labor laws, tax obligations, and regulatory requirements of the Republic of Venezuela, including but not limited to the Venezuelan Labor Law (Ley Orgánica del Trabajo) and applicable municipal regulations of the Caracas metropolitan area.
• 3.7 – Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall compensate the Seller for all services rendered up to the date of termination, as documented by the Industrial Engineer's weekly progress reports.
• 3.8 – This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce and Industry (Cámara de Comercio e Industria de Caracas).
• 3.9 – The Seller shall not subcontract any portion of the Industrial Engineer services without prior written consent from the Buyer. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order.
• 3.10 – All communications related to this Purchase Order shall be directed to the contact persons listed above. Electronic communications via email shall be considered valid for all administrative purposes, provided that contractual modifications require a signed written addendum.

4. COMMENCEMENT AND DURATION

The Industrial Engineer shall commence services on or before July 1, 2025, at the Buyer's facility in Venezuela Caracas. The total duration of the engagement under this Purchase Order shall be six (6) months, with the possibility of a one-time extension of three (3) months subject to mutual written agreement. The Industrial Engineer must submit a detailed project timeline within the first five (5) business days of commencing work, outlining all milestones, deliverable dates, and resource requirements specific to the Venezuela Caracas operational environment.

5. ACCEPTANCE AND AUTHORIZATION
