- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, specifically the Algerian Commercial Code and Law 14-05 of 2014 relating to the press and publication. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Algiers, Algeria.
- Professional Qualification: The Journalist confirms that she holds a valid press card issued by the Algerian Ministry of Communication and is in full compliance with all professional obligations set forth by the Algerian Press Council. The Journalist shall maintain her professional license throughout the duration of this engagement in Algeria Algiers.
- Payment Terms: Payment shall be made in Algerian Dinars (DZD) via bank transfer to the Journalist's designated account at the Banque d'Algérie, Algiers branch. A 40% advance payment is due upon acceptance of this Purchase Order. The remaining 60% shall be paid within 30 days of final delivery and written acceptance of all deliverables by the Purchasing Party.
- Intellectual Property: Upon full payment, all written articles, photographs, audio recordings, and video content produced by the Journalist under this Purchase Order shall become the exclusive property of Sahara Media Group SARL. The Journalist retains the right to display the work in her professional portfolio with proper attribution.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, source identities, and internal business strategies of the Purchasing Party. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Algerian Media Regulations: All content produced under this Purchase Order must comply with the ethical standards of the Algerian press, the regulations of the Algerian Press Council, and applicable data protection laws in Algeria Algiers. The Journalist shall not publish any material that violates Algerian public order or national security provisions.
- Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) calendar days. In the event of termination, the Journalist shall be compensated for all services rendered up to the date of termination, and all partially completed deliverables shall be surrendered to the Purchasing Party.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government decrees, or civil unrest in Algeria Algiers or elsewhere in Algeria.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. The Journalist's acceptance of this Purchase Order constitutes agreement to all terms, conditions, and specifications outlined herein.
