- Scope of Work: The Journalist identified in this Purchase Order shall perform all journalistic services exclusively within the jurisdiction of Argentina Buenos Aires, including the Autonomous City of Buenos Aires (CABA) and the surrounding provinces of Buenos Aires as specified in the line items above. All reporting shall comply with Argentine data protection law (Ley 25.326) and press freedom regulations.
- Delivery Schedule: All deliverables shall be submitted in accordance with the timeline outlined in the attached Service Level Agreement (SLA). The investigative feature (Item 01) shall be delivered no later than 30 September 2025. Weekly briefs (Item 02) shall commence on 1 July 2025 and conclude on 29 August 2025. Broadcast sessions (Item 03) are scheduled for 22 July 2025 and 19 August 2025.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice (Factura A) issued by the Journalist. Payment shall be processed via bank transfer to the account designated by the service provider. In the event of partial delivery, pro-rata payment shall be issued for completed line items.
- Intellectual Property: Upon full payment, all journalistic content, including articles, briefs, broadcast scripts, and associated multimedia materials produced under this Purchase Order, shall become the exclusive property of Meridiano Sur Media Group S.A. The Journalist retains the right to be credited as the author in all published and broadcast materials.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, source identities, and internal editorial strategies of the purchasing entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance and Ethics: The Journalist warrants that all reporting conducted in Argentina Buenos Aires shall adhere to the highest standards of journalistic integrity, including accurate attribution, balanced representation of all parties involved, and full disclosure of any potential conflicts of interest.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the purchasing entity shall compensate the Journalist for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with specific reference to the Civil and Commercial Code of Argentina (Código Civil y Comercial de la Nación). Any disputes arising from this document shall be resolved in the competent courts of Buenos Aires, Argentina.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Argentina Buenos Aires region.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment to the terms herein.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Journalist for professional services in Argentina Buenos Aires. This document constitutes a binding agreement between the parties as of the date of the last signature.
