4.1 Scope of Work

The Journalist shall perform all duties outlined in this Purchase Order with professional diligence, adhering to the highest standards of journalistic integrity as recognised by the Australian Media Council. All reporting shall be conducted within the geographic boundaries of Australia Melbourne and its designated regional satellite areas as specified in Item 05 above. The Journalist retains full editorial independence in the presentation of facts, subject to the factual accuracy requirements stipulated herein.

4.2 Payment Schedule

Payment shall be made in three instalments: 40% (AUD 17,600.00) upon execution of this Purchase Order; 40% (AUD 17,600.00) upon delivery of the first four (4) completed articles and associated audio-visual materials; and the remaining 20% (AUD 8,800.00) upon final acceptance of all deliverables. All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Journalist on the supplier's tax invoice.

4.3 Intellectual Property

Upon full and final payment, all written articles, audio recordings, video footage, photographs, and associated metadata produced under this Purchase Order shall become the exclusive property of Meridian Media Group Pty Ltd. The Journalist retains the right to be credited as the author and to reference the work in their professional portfolio, subject to a 90-day embargo period following initial publication.

4.4 Confidentiality and Privacy

The Journalist acknowledges that, in the course of this engagement in Australia Melbourne, they may access sensitive personal information, government records, and proprietary corporate data. All such information shall be handled in strict accordance with the Privacy Act 1988 (Cth), the Victorian Privacy and Data Protection Act 2014, and the terms of any applicable non-disclosure agreements. Breach of confidentiality shall render the Journalist liable for damages and immediate termination of this Purchase Order.

4.5 Cancellation and Termination

Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Journalist shall be compensated for all work completed and expenses incurred up to the date of termination. In the event of termination due to the Journalist's material breach, no further payment shall be due, and any advance payments shall be refunded within fourteen (14) business days.

4.6 Governing Law

This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne, and the Commonwealth of Australia. Any disputes arising under this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia Melbourne.

4.7 Insurance and Liability

The Journalist shall maintain, at their own cost, professional indemnity insurance with a minimum cover of AUD 10,000,000 and public liability insurance with a minimum cover of AUD 5,000,000 for the entire duration of the engagement. Certificates of insurance shall be provided to the Buyer prior to the commencement of fieldwork in Australia Melbourne.

Important Note: This Purchase Order constitutes a binding agreement upon signature by both parties. The Journalist is engaged as an independent contractor and not as an employee of Meridian Media Group Pty Ltd. All tax obligations, including PAYG withholding where applicable, are the responsibility of the Journalist in accordance with the Australian Taxation Office (ATO) guidelines.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of the Journalist's professional services in Australia Melbourne.
