3. Scope of Work & Line Items

This Purchase Order authorises the engagement of the above-named Journalist to deliver professional media services within the metropolitan area of Australia Sydney and its surrounding regions. The Journalist shall produce, edit, and deliver written and multimedia content in accordance with the specifications outlined below. All work shall be conducted in compliance with the Privacy Act 1988 (Cth), the Copyright Act 1968 (Cth), and applicable New South Wales media and defamation legislation.

5. Payment Terms

Payment shall be made in Australian Dollars (AUD) via electronic funds transfer (EFT) to the Journalist's nominated bank account. A 40% advance payment of AUD $7,150.00 (inclusive of GST) is due upon acceptance of this Purchase Order. The remaining 60% balance of AUD $10,725.00 (inclusive of GST) shall be paid within fourteen (14) calendar days of final delivery and written acceptance of all deliverables. Late payments shall attract interest at the rate prescribed under the Competition and Consumer Act 2010 (Cth) as applied in Australia Sydney. All invoices must reference Purchase Order number AUS-SYD-2025-04782.

6. Terms and Conditions
  1. Professional Standards: The Journalist shall conduct all reporting and editorial work in strict accordance with the Australian Journalists Association Code of Ethics, the Media, Entertainment and Arts Alliance (MEAA) guidelines, and all applicable laws of the Commonwealth of Australia and the State of New South Wales, including but not limited to the Defamation Act 2005 (NSW) and the Privacy Act 1988 (Cth).
  2. Intellectual Property: Upon full and final payment, all rights, title, and interest in the written and multimedia content produced under this Purchase Order shall vest in Harbour Media Group Pty Ltd. The Journalist retains the right to be credited as the author. Any pre-existing materials or frameworks supplied by the Journalist remain the property of the Journalist unless otherwise agreed in writing.
  3. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, source identities, and internal business data of Harbour Media Group Pty Ltd. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  4. Insurance: The Journalist shall maintain, at their own cost, professional indemnity insurance with a minimum cover of AUD $5,000,000 and public liability insurance of AUD $10,000,000 for the duration of the engagement in Australia Sydney. Certificates of insurance shall be provided upon request.
  5. Termination: Either party may terminate this Purchase Order by providing fourteen (14) days written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination, plus reasonable out-of-pocket expenses incurred in Australia Sydney.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the rules of the Australian Dispute Resolution Centre in Australia Sydney. Failing mediation, the dispute shall be determined by the courts of New South Wales, Australia Sydney.
  7. Compliance: The Journalist warrants that they hold all necessary permits, registrations, and professional credentials required to practise journalism in Australia Sydney. The Journalist shall comply with all workplace health and safety obligations under the Work Health and Safety Act 2011 (NSW) when conducting fieldwork.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Australia Sydney.
7. Acceptance and Authorisation

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Journalist by Harbour Media Group Pty Ltd for the delivery of professional media services in Australia Sydney.
