This Purchase Order is issued by Rio de Janeiro Media & Communications Group Ltda. to formally engage the services of a qualified Journalist for the production of investigative and editorial content related to urban development, environmental policy, and cultural heritage in the metropolitan region of Rio de Janeiro, Brazil. The Journalist shall operate in full compliance with the Brazilian Press Council (Conselho Federal de Jornalismo) regulations and the professional ethics code established by the National Association of Journalists (ANJ).
The engagement of this Journalist is specifically scoped to cover events, interviews, and field reporting within the city of Rio de Janeiro and its immediate surrounding municipalities in the State of Rio de Janeiro, Brazil. All deliverables shall be produced in Portuguese (Brazilian) unless otherwise specified in individual assignment briefs.

Applicable Taxes: ISS (Imposto Sobre Serviços) at 5% as per Municipal Tax Code of Rio de Janeiro. INSS and IRRF withholdings shall be applied in accordance with Brazilian labor and tax legislation. Total tax deductions: R$ 4,267.00. Net Payable Amount: R$ 45,933.00.
- Validity: This Purchase Order is valid for a period of ninety (90) calendar days from the date of issue, or until the completion of all listed Journalist assignments, whichever occurs first.
- Payment Terms: Payment shall be made via bank transfer (TED/PIX) to the account designated by the Journalist within fifteen (15) business days following the acceptance of each deliverable by the Buyer's editorial board in Rio de Janeiro.
- Intellectual Property: All articles, photographs, audio recordings, and multimedia content produced by the Journalist under this Purchase Order shall become the exclusive property of Rio de Janeiro Media & Communications Group Ltda. upon full payment. The Journalist retains the right to be credited as author in all published materials.
- Professional Standards: The Journalist shall adhere to the ethical guidelines of the Brazilian Press Council and the Code of Ethics of the National Association of Journalists (ANJ). Any breach of professional ethics may result in immediate termination of this Purchase Order without penalty to the Buyer.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding unpublished sources, internal editorial strategies, and proprietary information of the Buyer. This obligation survives the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with a written notice of ten (10) business days. In the event of termination, the Buyer shall compensate the Journalist for all services rendered up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting the city of Rio de Janeiro.
- Compliance: The Journalist warrants that he/she holds a valid professional registration (DRT) and is in good standing with all applicable regulatory bodies in Brazil. The Journalist shall maintain all necessary insurance coverage for the duration of the engagement.
