2. Intellectual Property: Upon full payment, all journalistic content, photographs, audio recordings, and video footage produced under this Purchase Order shall become the exclusive property of Meridian Global Media Group Ltda. The Journalist retains the right to be credited as the author of all published works.
3. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, sources, and internal editorial strategies of the Purchasing Entity. This obligation survives the termination of this Purchase Order for a period of two (2) years.
4. Compliance with Brazilian Law: All services rendered under this Purchase Order shall comply with the Brazilian Constitution (Article 5, items IV, IX, and XIV), the Civil Code, and the specific press and media regulations applicable in the State of São Paulo. The Journalist shall hold a valid professional registration (registro profissional) with the relevant São Paulo professional council.
5. Termination: Either party may terminate this Purchase Order with fifteen (15) days' written notice. In the event of early termination, the Journalist shall be compensated for all services rendered up to the date of termination, plus a 10% cancellation fee on the remaining balance.
6.
