1. Engagement Period: The Journalist shall perform all services outlined in this Purchase Order between June 16, 2025, and August 15, 2025. All deliverables must be submitted to the designated editorial contact at Northlake Media Group Inc., Toronto, Ontario, Canada Toronto, no later than the dates specified in the attached project timeline.
2. Intellectual Property: Upon full payment of the total amount stated in this Purchase Order, all written articles, photographs, audio recordings, and related media produced by the Journalist in the course of this engagement shall become the exclusive property of Northlake Media Group Inc. The Journalist retains the right to be credited as the author or photographer on all published materials.
3. Ethical and Legal Compliance: The Journalist agrees to adhere strictly to the Canadian Press Code of Ethics, the Ontario Freedom of Information and Protection of Privacy Act (FIPPA), and all applicable provisions of the Canadian Charter of Rights and Freedoms. Any reporting conducted in Canada Toronto must respect the privacy rights of individuals and comply with municipal bylaws governing public assembly and media access.
4. Payment Schedule: Payment shall be made via electronic funds transfer (EFT) to the bank account designated by the Journalist. An initial payment of fifty percent (50%) of the total Purchase Order value is due upon execution of this document. The remaining fifty percent (50%) shall be due within thirty (30) calendar days of final delivery and acceptance of all work products.
5. Cancellation and Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Journalist shall be compensated for all services rendered up to the date of termination, plus any non-recoverable expenses incurred in Canada Toronto.
6. Confidentiality: The Journalist shall maintain strict confidentiality regarding all unpublished materials, internal communications, and proprietary data of Northlake Media Group Inc. This obligation survives the termination of this Purchase Order for a period of two (2) years.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this engagement shall be resolved through mediation in Canada Toronto before proceeding to litigation in the Superior Court of Justice of Ontario.
8. Insurance: The Journalist confirms that she maintains professional liability insurance with a minimum coverage of $2,000,000 CAD, valid throughout the engagement period in Canada Toronto.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for Journalist services in Canada Toronto.
