This Purchase Order is issued by Northwest Pacific Media Group Inc. to engage the services of a qualified Journalist, Ms. Catherine L.   1. Scope of Work: The Journalist shall deliver all written content, supporting photographs (where applicable), and raw interview recordings to the Buyer's editorial team no later than the Required Delivery Date specified above. All work shall be original, unpublished, and free of third-party intellectual property claims.
  2. Editorial Standards: The Journalist agrees to adhere to the Canadian Association of Journalists Code of Ethics, the CJFE principles, and the specific editorial guidelines provided by Northwest Pacific Media Group Inc. Any conflict of interest must be disclosed in writing prior to commencement of work.
  3. Confidentiality: The Journalist shall maintain strict confidentiality regarding all source identities, unpublished data, and internal communications of the Buyer. This obligation survives termination of this Purchase Order for a period of five (5) years.
  4. Payment: Payment of the total Purchase Order amount of $31,920.00 CAD shall be made within thirty (30) calendar days of the Buyer's receipt of a valid tax invoice from the Journalist, following final acceptance of all deliverables. Payment shall be made by electronic funds transfer (EFT) to the account specified above.
  5. Acceptance and Revisions: The Buyer shall have ten (10) business days from the date of delivery to review and request reasonable revisions. The Journalist shall provide up to two (2) rounds of revisions at no additional cost. Further revisions beyond this scope shall be billed at the hourly rate specified in Item 4.
  6. Intellectual Property: Upon full payment, all rights, title, and interest in the delivered articles, including the right to publish, syndicate, and archive, shall transfer to Northwest Pacific Media Group Inc. The Journalist retains the right to include the work in a professional portfolio with prior written consent from the Buyer.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Canada Vancouver before resorting to litigation in the Supreme Court of British Columbia.
  8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay the Journalist for all services rendered and expenses incurred up to the date of termination, pro-rated.
  9. Insurance: The Journalist shall maintain professional liability insurance with a minimum coverage of $1,000,000 CAD throughout the duration of this engagement and shall provide a certificate of insurance upon request.
  10. Compliance: The Journalist confirms that all work performed under this Purchase Order complies with the Canadian Privacy Act, the Personal Information Protection and Electronic Documents Act (PIPEDA), and all applicable municipal bylaws within Canada Vancouver.

This Purchase Order (PO-2025-CV-0487) constitutes a binding agreement between the parties upon execution by both authorized signatories. This document was prepared for use in Canada Vancouver and is subject to the laws of British Columbia and the federal jurisdiction of Canada. All references to "Canada Vancouver" in this document denote the City of Vancouver, British Columbia, and its immediate metropolitan region. The Journalist engaged under this Purchase Order is expected to conduct all fieldwork, reporting, and editorial activities primarily within the Canada Vancouver area unless otherwise agreed in writing.
