1. Scope of Engagement: This Purchase Order authorizes the named Journalist to perform the professional services described in the line items above. All work shall be executed in accordance with the ethical standards established by the Chilean Press Council (Consejo de la Prensa de Chile) and applicable journalism regulations in force in Chile Santiago.
2. Intellectual Property: Upon full payment, all written articles, photographs, video recordings, and broadcast materials produced by the Journalist under this Purchase Order shall become the exclusive property of Andes Media Group S.A. The Journalist retains the right to be credited as the author or creator of the respective works in all publications and digital distributions.
3. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all proprietary information, unpublished data, and internal communications of Andes Media Group S.A. encountered during the performance of services in Chile Santiago. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4. Payment: Payment shall be made via electronic bank transfer (transferencia electrónica) to the bank account designated by the Journalist. The invoice must include the Journalist's RUT number and comply with the electronic invoicing requirements (facturación electrónica) mandated by the Servicio de Impuestos Internos (SII) of Chile. Payment is due within thirty (30) calendar days of receipt of a valid invoice.
5. Cancellation and Modification: Either party may cancel or modify this Purchase Order by providing written notice at least seven (7) business days prior to the scheduled delivery date. In the event of cancellation by the issuing company, the Journalist shall be compensated for all services rendered and expenses incurred up to the date of cancellation.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Chile Santiago, Metropolitan Region, and the parties hereby submit to the exclusive jurisdiction of said courts.
7. Compliance: The Journalist warrants that all services rendered under this Purchase Order shall comply with Chilean labor regulations, data protection laws (Ley 19.628), and all applicable municipal ordinances in Chile Santiago. The Journalist shall carry valid professional insurance coverage for the duration of the engagement.
8. Acceptance: This Purchase Order becomes binding upon signature by both parties. The Journalist's acceptance of this Purchase Order constitutes agreement to all terms, conditions, and service specifications outlined herein.
