1. Delivery: All physical goods listed in this Purchase Order shall be delivered to the Buyer's office at 18 Chaoyang District, Jianguomen North Avenue, China Beijing, no later than 28 June 2025. The supplier is responsible for all customs clearance, import duties, and Value Added Tax (VAT) applicable to goods entering China Beijing.
2. Compliance: The supplier warrants that all equipment and services provided under this Purchase Order comply with the regulations of the State Administration of Radio and Television of China (SART) and the National Press and Publication Administration regarding the operation of a Journalist in China Beijing. Any non-compliant item will be rejected at the Buyer's sole discretion.
3. Warranty: All hardware items carry a minimum 24-month manufacturer's warranty. The supplier shall provide a dedicated after-sales support contact reachable within China Beijing business hours (09:00–18:00 CST, Monday to Friday).
4. Payment: Payment of the full amount of USD 43,397.00 shall be made via wire transfer to the supplier's designated account within thirty (30) calendar days of the date of this Purchase Order, provided all goods and services have been accepted in writing by the Buyer's procurement team.
5. Confidentiality: The supplier acknowledges that this Purchase Order pertains to the operational deployment of a Journalist in a sensitive media environment. All details of this transaction, including the identity and assignment of the Journalist, shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from Beijing Media Solutions Co., Ltd.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Beijing, or international trade restrictions.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.
8. Acceptance: The Buyer reserves the right to inspect all delivered items within five (5) business days of receipt. Any defective or non-conforming goods must be replaced or refunded within ten (10) business days of written notice.
