- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable regulations of China Shanghai. Any disputes arising from this Purchase Order shall be submitted to the Shanghai International Arbitration Center for resolution.
- Journalist Credentials: The Journalist warrants that he holds a valid PRC Press Card issued by the National Press and Publication Administration and that all journalistic activities conducted under this Purchase Order shall comply with the Press Law of the PRC and local regulations of China Shanghai.
- Intellectual Property: All articles, photographs, video footage, and multimedia content produced by the Journalist under this Purchase Order shall become the exclusive property of Shanghai Horizon Media Group Co., Ltd. upon full payment. The Journalist retains the right to be credited as the bylined author.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, source identities, and proprietary data accessed during the performance of services in China Shanghai. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Payment Schedule: Payment of fifty percent (50%) of the total Purchase Order value shall be due within ten (10) business days of the Journalist's written acceptance of this document. The remaining fifty percent (50%) shall be payable within thirty (30) days of final delivery and acceptance of all deliverables.
- Delivery and Acceptance: All written journalism deliverables shall be submitted in Microsoft Word (.docx) and PDF formats to the Buyer's editorial office in Pudong, China Shanghai. The Buyer shall have five (5) business days to review and either accept or request reasonable revisions.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress materials shall be delivered to the Buyer.
- Compliance with Local Regulations: The Journalist acknowledges that all reporting activities conducted within China Shanghai are subject to local government permits, venue access requirements, and data protection regulations. The Buyer shall assist in obtaining necessary local permits where applicable.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Journalist in China Shanghai. This document constitutes a binding agreement upon execution by both parties.
