- Applicability: This Purchase Order governs the entire engagement between the issuing entity and the Journalist for all services rendered in Kinshasa, DR Congo. Any amendments to this Purchase Order must be made in writing and signed by both parties.
- Performance Location: All journalistic activities, field reporting, interviews, and content production under this Purchase Order shall be conducted primarily within the city of Kinshasa, DR Congo, unless otherwise authorized in writing by the Editor-in-Chief.
- Compliance with DR Congo Law: The Journalist shall comply with all applicable laws of the Democratic Republic of Congo, including but not limited to the Press Law, the Code of Ethics for Journalists in DR Congo, data protection regulations, and any local ordinances in force in Kinshasa at the time of performance.
- Intellectual Property: All content, articles, recordings, photographs, and multimedia materials produced by the Journalist under this Purchase Order shall become the exclusive property of the issuing entity upon full payment. The Journalist retains the right to be credited as the author or creator of the work.
- Payment Terms: Payment shall be made in United States Dollars (USD) via bank transfer to the Journalist's designated account in Kinshasa, DR Congo, within thirty (30) calendar days of receipt of a valid invoice and acceptance of deliverables. Late payments shall accrue interest at a rate of 1.5% per month.
- Confidentiality: The Journalist shall maintain strict confidentiality regarding sources, unpublished material, and internal editorial strategies. Breach of confidentiality shall result in immediate termination of this Purchase Order and potential legal action under DR Congo law.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Journalist shall be compensated for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed restrictions on press freedom in DR Congo, or pandemics affecting operations in Kinshasa.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Democratic Republic of Congo. Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation in Kinshasa. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Kinshasa Chamber of Commerce.
- Validity: This Purchase Order is valid from the date of issue until 30 September 2025, unless extended by mutual written agreement of both parties.
