Description of Goods and ServicesThis Purchase Order is issued by Horn of Africa Media & Communications PLC to engage the services of a qualified Journalist for the production of investigative reporting, editorial content, and media analysis in support of the organization's regional news desk. All services shall be performed within the jurisdiction of Ethiopia Addis Ababa, in compliance with the Ethiopian Press and Publications Authority regulations and the Federal Democratic Republic of Ethiopia's media laws.

- Scope of Engagement: The Journalist (Selam Bekele) shall perform all journalistic services described in this Purchase Order with professional diligence, adhering to the ethical standards set forth by the Ethiopian Journalists Association and the Press and Publications Authority of Ethiopia. All reporting shall be conducted within the city of Ethiopia Addis Ababa unless prior written consent is obtained from the Buyer.
- Intellectual Property: Upon full payment, all articles, reports, photographs, and multimedia content produced under this Purchase Order shall become the exclusive property of Horn of Africa Media & Communications PLC. The Journalist retains the right to display the work in a personal portfolio with proper attribution.
- Payment Schedule: Payment shall be made in two installments: 50% (ETB 114,000.00) upon acceptance of the first three deliverables, and the remaining 50% (ETB 114,000.00) within 30 calendar days of final delivery and acceptance of all services listed in this Purchase Order. Payment shall be made via bank transfer to the account designated by the Journalist.
- Compliance with Ethiopian Law: The Journalist warrants that all services rendered in Ethiopia Addis Ababa shall comply with the Press and Broadcasting Proclamation No. 932/2016, the Civil Code of Ethiopia, and all applicable tax obligations under the Ethiopian Revenue and Customs Authority. The Journalist shall provide a valid tax invoice with each payment request.
- Confidentiality: The Journalist shall maintain strict confidentiality regarding all unpublished information, source identities, and internal communications of the Buyer encountered during the performance of this Purchase Order. This obligation shall survive the termination of this agreement for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily completed up to the date of termination. The Journalist shall deliver all work-in-progress materials to the Buyer within seven (7) days of the termination notice.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Ethiopia Addis Ababa in accordance with the Ethiopian Civil Procedure Code.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. The place of performance and jurisdiction is Ethiopia Addis Ababa.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Ethiopia Addis Ababa.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Journalist services in Ethiopia Addis Ababa. This document constitutes a binding agreement between the parties upon execution.
