- This Purchase Order constitutes a binding agreement between Frankfurt Media & Communications GmbH (hereinafter "the Buyer") and Dr. Katharina Vogel, Freelance Journalist (hereinafter "the Journalist" or "the Vendor"), for the provision of professional journalism services as described in the line items above.
- All deliverables produced by the Journalist under this Purchase Order shall be original, unpublished works created specifically for the Buyer. The Journalist warrants that no portion of the content has been previously published, syndicated, or licensed to any third party in Germany Frankfurt or internationally.
- The Journalist shall conduct all field reporting, interviews, and on-site documentation in compliance with German press law (Pressegesetz), the German Copyright Act (Urheberrechtsgesetz), and applicable data protection regulations under the GDPR as implemented in Germany.
- All work shall be performed primarily at the Buyer's offices located in Germany Frankfurt, Mainzer Landstrasse 142, 60329 Frankfurt am Main, unless otherwise agreed in writing for specific field reporting assignments within the Hesse region.
- The Journalist shall submit all drafts, photographs, and final deliverables to the Buyer's editorial department no later than the Required Delivery Date stated above. Late delivery shall be subject to a penalty of 2% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Payment shall be made via bank transfer to the account specified on the Journalist's invoice within 30 days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any deliverable that does not meet the agreed-upon journalistic quality standards or fails the fact-checking process.
- The Journalist retains moral rights to the published works in accordance with German copyright law. The Buyer acquires exclusive economic rights to reproduce, distribute, and publish the deliverables in all media formats for a period of five (5) years from the date of first publication.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt.
- The Journalist shall maintain professional liability insurance with a minimum coverage of EUR 500,000 for the duration of this engagement. Proof of insurance shall be provided upon request by the Buyer's procurement department.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all non-public information obtained during the course of this engagement in Germany Frankfurt. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
