This Purchase Order is issued by Bavaria Media Group GmbH (hereinafter referred to as the "Purchaser") to engage the services of Dr. Katharina Weiss, a credentialed and independent Journalist based in Munich, Germany (hereinafter referred to as the "Journalist" or "Service Provider"), for the purpose of producing, editing, and delivering a series of in-depth investigative and editorial content pieces for the Purchaser's flagship publication, Bavaria Business Review. The Journalist shall perform all professional duties in accordance with the standards of the German Press Council (Deutscher Presserat) and the Code of Ethics for Journalists in Germany.

- Acceptance of Purchase Order: By signing this Purchase Order, the Journalist acknowledges and accepts all terms, conditions, and scope of work outlined herein. This document constitutes a binding contractual agreement between the Purchaser and the Journalist under the laws of the Federal Republic of Germany.
- Intellectual Property: All written content, photographs, recordings, and derivative works produced by the Journalist under this Purchase Order shall become the exclusive intellectual property of Bavaria Media Group GmbH upon full payment. The Journalist retains the right to be credited as the author in all published editions.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished material, internal business strategies, and proprietary information of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance with German Media Law: The Journalist shall conduct all reporting activities in full compliance with the German Press Freedom Act (Pressefreiheit), the Bavarian Press Act (Bayerisches Pressegesetz), and all applicable data protection regulations under the GDPR (EU) 2016/679 as implemented in Germany.
- Delivery and Acceptance: All deliverables shall be submitted in digital format (PDF and editable DOCX) to the Purchaser's editorial office in Munich no later than the Required Delivery Date stated above. The Purchaser shall have ten (10) business days to review and accept or request revisions. Revisions limited to one round are included in the Purchase Order price.
- Payment: Payment shall be made via SEPA bank transfer within thirty (30) calendar days of receipt of a valid invoice from the Journalist. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Journalist shall be compensated for all work completed and documented up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Munich, Germany. The parties agree to attempt mediation before initiating formal litigation.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Munich region.
