The Journalist engaged under this Purchase Order shall perform all duties from the India Bangalore office or as directed by the Buyer. All deliverables must adhere to the editorial standards set by MediaCorp India Pvt. Ltd. and must comply with the Information Technology Act, 2000, the Press and Periodicals Registration Act, 1875, and the guidelines issued by the Press Council of India. The Journalist is expected to maintain strict editorial independence while fulfilling contractual obligations. All reporting, interviews, and fieldwork shall be conducted within the geographical boundaries of Bangalore, Karnataka, unless prior written approval is obtained from the Buyer for travel to other locations within India.

  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Journalist within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Payment: Payment shall be made within thirty (30) days of receipt of a valid GST-compliant invoice from the Journalist. Payment shall be processed via NEFT/RTGS to the bank account specified by the Journalist in Bangalore, Karnataka. The Buyer reserves the right to withhold payment for any deliverable that does not meet the agreed quality standards.
  3. Intellectual Property: All content, articles, photographs, and media produced by the Journalist under this Purchase Order shall become the exclusive property of MediaCorp India Pvt. Ltd. upon full payment. The Journalist retains the right to be credited as the author or photographer.
  4. Confidentiality: The Journalist shall maintain strict confidentiality regarding all proprietary information, unpublished stories, and internal communications of MediaCorp India Pvt. Ltd. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
  5. Compliance with Indian Law: The Journalist shall comply with all applicable laws of India, including but not limited to the Indian Penal Code, the IT Act, 2000, and the Karnataka Press and Publications Act. Any violation shall result in immediate termination of this Purchase Order without liability on the part of the Buyer.
  6. Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of the courts in Bangalore, India shall be exclusive.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies affecting the Bangalore, India region.
  9. Subcontracting: The Journalist shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Buyer.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the commercial and media regulations applicable in Bangalore, Karnataka.
